The agreement on the establishment of the open joint-stock company "Novopolotskzhelezobeton" with the participation of a founder other than the state was signed today by the Vitebsk Regional Territorial Fund of State Property and the foreign investor - the limited liability company "EnergoInvest" (Russia), BELTA correspondent reports. The founders agreed to establish OJSC "Novopolotskzhelezobeton" by transforming the republican unitary production enterprise "Novopolotskzhelezobeton" and to form an authorized capital of Br60,033 million, divided into 300,165 ordinary shares with a nominal value of Br200,000 each. The founders' contributions are distributed as follows: "Vitebskoblimushchestvo" contributes state property with an estimated value of Br29,416 million, which constitutes 49% of the authorized capital, and "EnergoInvest" contributes 110,133 million Russian rubles, which constitutes 51% of the authorized capital. In addition, the Russian investor has undertaken obligations to modernize the existing production, install technological equipment for the production of reinforced concrete structures for panel-frame housing construction, complete the construction of a mini-CHP plant, preserve the personnel potential and jobs, and maintain the enterprise's profile. The signing of the agreement was the result of direct negotiations, as only one application was submitted for the tender to select a founder of OJSC other than the state, and the tender was not held.
